Terms of Service

1. Acceptance of Terms

By accessing or using Venda (including our website, mobile apps, desktop applications, and APIs), you agree to be bound by these Terms of Service. If you do not agree to all terms, you may not use Venda.

2. Description of Service

Venda is a cross-listing platform for resellers that helps you:

  • —Generate product listings using AI (from photos)
  • —Publish listings to multiple online marketplaces (eBay, Etsy, Poshmark, Mercari, Depop, etc.)
  • —Automatically delist items when they sell on any platform
  • —Track sales, pricing, and profit analytics
  • —Manage marketplace connections and subscriptions

3. User Accounts and Responsibilities

3.1 Account Creation

To use Venda, you must:

  • —Provide a valid email address
  • —Create a secure password (you are responsible for keeping it confidential)
  • —Be at least 18 years old
  • —Have the legal right to sell items in your jurisdictions

3.2 Marketplace Credentials

You authorize Venda to store OAuth tokens (for marketplaces with an official API) and an encrypted copy of your marketplace login session (for marketplaces without one), and to publish, edit and remove listings and read sales data on your behalf. We never ask for your marketplace passwords.

4. Acceptable Use Policy

4.1 You Agree NOT To:

  • —Violate marketplace TOS (eBay, Etsy, Poshmark, etc.)
  • —Sell prohibited items (weapons, counterfeit goods, stolen items, etc.)
  • —Engage in fraud, misrepresentation, or bait-and-switch tactics
  • —Scrape our platform or reverse-engineer our technology
  • —Attack or disrupt our infrastructure (DDoS, SQL injection, etc.)
  • —Share your account or use bots to manipulate our system

4.2 Marketplace TOS Compliance

Important: You are responsible for complying with each marketplace's terms. Venda connects to eBay, Etsy and Shopify through their official APIs, and to Poshmark, Mercari, Depop, Facebook Marketplace, Grailed and Whatnot through your own signed-in session, as described on our How Venda Connects page. Marketplaces set and enforce their own rules; Venda is not responsible for a marketplace's enforcement decisions.

5. Automated Delisting

5.1 How It Works

When an item sells on one platform, Venda detects the sale (via API notifications for eBay, by checking your recent Etsy orders through Etsy's API, and by checking your listings on other platforms) and removes it from your other platforms. Our target is within 2 minutes.

5.2 Our delisting target

Target: When your device is online, our target is to remove a sold item from your other platforms within 2 minutes of detecting the sale. If Venda cannot confirm a removal within 2 minutes, the listing is flagged 'Action needed' in the app and you receive a reminder.

Not a guarantee: Removals are not guaranteed. Your device may be offline, a marketplace may be unavailable, or a removal may not be confirmable. You remain responsible for confirming an item has been removed before it can be sold twice.

5.3 Delisting Method

  • —eBay, Etsy, Shopify: official APIs, run from Venda's servers
  • —Poshmark, Mercari, Depop, Facebook Marketplace, Whatnot: automation runs on your device in your own signed-in session
  • —Grailed: sale checks and removals run from Venda's servers using your saved session
  • —Poshmark: if an item sold on Poshmark and your device has not removed it within 20 minutes, Venda's server completes that removal using your saved session

6. Intellectual Property

You retain full ownership of your photos, descriptions, and content. You grant Venda a limited license to store, process, and publish it on your behalf. All Venda code, design, and algorithms are owned by Venda and may not be copied or reverse-engineered.

7. Limitation of Liability

7.1 Disclaimer of Warranties

Venda is provided "AS IS." We do not guarantee the service will be uninterrupted, that removals will always complete within the 2-minute target, or that AI-generated listings will be perfect.

7.2 Limitation of Damages

  • —Venda's total liability is limited to the amount you paid us in the past 12 months
  • —We are not liable for indirect, incidental, or consequential damages (lost profits, lost data)
  • —We are not liable for marketplace bans or policy changes

8. Billing & Subscriptions

  • —14-day free trial — no credit card required
  • —Subscriptions auto-renew monthly until canceled
  • —Cancel anytime — access continues until end of billing period
  • —Subscriptions are non-refundable
  • —Billing via Stripe — subscriptions are purchased on venda-list.com, including from the mobile and desktop apps

9. Termination

You can delete your account anytime in Settings. We may suspend accounts for TOS violations, non-payment, or legal demands. Upon termination, your data is deleted per our Privacy Policy.

10. Governing Law & Disputes

These Terms are governed by the laws of New Jersey. Disputes will first be resolved informally (email us at support@venda-list.com). If unresolved, disputes go to binding arbitration under JAMS rules. Class actions are waived.
